Digital Product License Agreement
Effective Date: 24 May 2026
This Digital Product License Agreement ("Agreement") is entered into between:
Sento Industries Pty Ltd
trading as Kakuto Studios, Kakuto, and Kakuto Culture
("Kakuto Studios", "we", "our", "us")
and
the purchaser of any Kakuto Studios digital product
("Licensee", "Customer", "you", "your").
By purchasing, downloading, accessing, or using any Kakuto Studios digital product, you agree to be bound by the terms of this Agreement.
Please note that this Agreement may be reviewed and amended from time to time. The version in effect at the time of purchase applies to that purchase.
1. Intellectual Property Ownership
All artwork, graphics, illustrations, designs, mockups, editable files, branding assets, metadata, embedded identifiers, and associated materials supplied by Kakuto Studios remain the exclusive intellectual property of Sento Industries Pty Ltd unless explicitly agreed otherwise in writing.
No ownership rights are transferred to the Licensee.
The Licensee is purchasing a limited license to use the artwork, not ownership of the artwork itself.
All rights not expressly granted are reserved by Kakuto Studios.
2. License Types
Kakuto Studios currently offers the following license types:
- Commercial License
- Full Brand Pack License
The specific inclusions of each license are described on the relevant product page at the time of purchase.
Where the product page states additional conditions, including territory limits, availability limits, production limits, exclusivity limits, artwork-specific restrictions, or additional usage terms, those conditions form part of this Agreement.
3. Commercial License
Subject to full payment and compliance with this Agreement, the Licensee is granted a non-exclusive, non-transferable, revocable commercial license to use the purchased artwork for one business entity, gym, academy, club, or organisation.
The Commercial License is valid for twelve (12) months from the date of purchase unless otherwise stated on the product page or agreed in writing.
During the active License Term, the Licensee may:
- Use the purchased artwork for commercial purposes;
- Produce physical merchandise;
- Use the artwork for marketing and promotional purposes;
- Provide the files to third-party printers or decorators solely for production of the Licensee’s merchandise;
- Produce up to 500 physical units using the artwork unless otherwise stated on the product page or approved in writing by Kakuto Studios.
After the License Term expires, the Licensee must not produce new merchandise, create new promotional materials, or commence new commercial use of the artwork unless the license is renewed or extended.
Merchandise lawfully produced during the active License Term may continue to be sold, distributed, or worn after expiry, provided it was produced in accordance with this Agreement.
The Commercial License does not permit:
- Resale or redistribution of source files;
- Uploading files to marketplaces, stock websites, or public file-sharing platforms;
- Uploading artwork to print-on-demand platforms without written approval;
- Sharing files publicly;
- Sub-licensing the artwork;
- Selling the files as templates, clipart, digital downloads, or editable assets;
- Use by multiple unrelated entities;
- Trademark registration of the underlying artwork;
- Use in AI or machine learning training systems.
4. Full Brand Pack License
Where offered, the Full Brand Pack License provides broader access to editable, production-ready, mockup, and promotional assets supplied within the purchased Brand Pack.
Unless otherwise stated on the product page, the Full Brand Pack License is valid for twelve (12) months from the date of purchase and is subject to the same ownership, usage, restriction, renewal, and termination terms set out in this Agreement.
The specific inclusions, production limits, and usage rights of each Full Brand Pack will be described on the relevant product page at the time of purchase.
The Full Brand Pack License permits:
- Commercial merchandise production;
- Editable text customisation;
- Internal branding use;
- Marketing and promotional use;
- Production with third-party vendors;
- Use by one business entity, gym, academy, club, or organisation.
The Full Brand Pack License does not permit:
- Resale or redistribution of source files;
- Uploading files to marketplaces, stock websites, or public file-sharing platforms;
- Repackaging assets for resale;
- Uploading artwork to print-on-demand platforms without written approval;
- Use by multiple unrelated entities;
- Sub-licensing the artwork;
- Selling editable source files;
- Trademark registration of the underlying artwork;
- Use in AI or machine learning training systems.
5. Renewal and Extended Use
The Licensee may renew or extend a Commercial License or Full Brand Pack License by purchasing a renewal or extended license from Kakuto Studios, where available.
Renewal pricing, availability, and terms are at Kakuto Studios’ discretion.
Kakuto Studios is not required to offer renewal if the Licensee has breached this Agreement.
If a license is not renewed or extended, the Licensee must not begin any new commercial use of the artwork after the License Term expires.
Extended use is available by request.
6. Production Period and Existing Stock
All new commercial production using the artwork must occur during the active License Term.
The Licensee must not use the artwork to produce additional merchandise after the License Term expires unless a renewal or extension has been purchased.
If merchandise was produced during the active License Term, the Licensee may continue to sell, distribute, or use that existing stock after the License Term expires.
This does not permit the Licensee to produce additional stock after expiry.
7. One Entity / One Club
Each license applies to one club, academy, gym, business, organisation, or legal entity only.
A separate license is required for each unrelated club, branch, franchise, team, business, organisation, or legal entity unless otherwise agreed in writing.
The Licensee must not purchase one license and use it across multiple unrelated entities.
8. Record Keeping
The Licensee should retain reasonable records of merchandise production, including order dates, supplier invoices, and production quantities.
Kakuto Studios may request reasonable evidence of compliance where misuse, overproduction, or breach is suspected.
9. Third-Party Printers and Vendors
The Licensee may provide artwork files to third-party printers or production vendors solely for the purpose of manufacturing products for the Licensee.
Third-party vendors do not receive any ownership or licensing rights to the artwork.
Third-party vendors may not reuse, resell, redistribute, retain, upload, or repurpose the files for unrelated projects.
The Licensee remains fully responsible for all use of the artwork by its vendors, employees, contractors, and representatives.
10. Logo Integration and Customer-Supplied Materials
Where the Licensee supplies logos, trademarks, names, slogans, or other materials for customisation purposes, the Licensee warrants that they possess all necessary legal rights to use those materials.
The Licensee indemnifies Kakuto Studios against any claims arising from customer-supplied content.
Logo integration, colour changes, layout changes, or other customisation services are not included unless expressly stated on the product page or purchased separately.
11. Exclusivity
Unless expressly stated on the product page or agreed in writing, purchase of a license does not grant exclusivity.
Kakuto Studios retains the right to:
- Continue selling the artwork;
- License the artwork to other customers;
- Use the artwork for marketing and portfolio purposes.
Exclusive buyouts, territory restrictions, state-based restrictions, or exclusivity arrangements must be stated on the relevant product page or agreed separately in writing.
12. Prohibited Uses
The Licensee must not:
- Resell or redistribute source files;
- Share files publicly;
- Upload artwork to stock websites, marketplaces, or public file-sharing platforms;
- Upload artwork to print-on-demand platforms without written approval;
- Use the artwork to create or sell digital products, templates, downloadable graphics, clipart, design assets, editable files, or similar digital goods;
- Claim ownership of the artwork;
- Modify the artwork and claim authorship;
- Use the artwork in NFTs, blockchain products, or AI systems;
- Use the artwork for AI or machine learning training;
- Use the artwork in unlawful, defamatory, hateful, or offensive material;
- Permit unauthorised third parties to use the artwork;
- Remove embedded metadata or identifiers where reasonably possible;
- Register the underlying artwork as a trademark.
13. Digital Fingerprinting and Monitoring
Kakuto Studios may embed metadata, identifiers, tracking information, hidden signatures, export identifiers, or other forensic markers within supplied files for intellectual property protection purposes.
The Licensee agrees not to intentionally remove or alter such protections.
14. Download Access
Download access may be limited by number of downloads, time period, or file availability.
Kakuto Studios may restore download access at its discretion for verified purchasers.
The Licensee is responsible for securely storing downloaded files after purchase.
Unauthorised sharing of download links, files, ZIP folders, or access credentials is prohibited.
15. Copyright Enforcement
Kakuto Studios reserves the right to investigate suspected misuse or infringement of its intellectual property.
Where infringement is suspected, Kakuto Studios may:
- Issue takedown requests;
- Request evidence of compliance;
- Suspend licenses;
- Revoke access to products;
- Seek damages;
- Seek injunctive relief;
- Commence legal proceedings.
16. Termination
Any breach of this Agreement immediately terminates the Licensee's rights under this Agreement.
Upon termination, the Licensee must:
- Cease all use of the artwork;
- Stop producing any merchandise using the artwork;
- Destroy all copies of the files;
- Remove the artwork from products, marketing materials, and digital platforms where reasonably possible.
Termination does not limit Kakuto Studios' other legal rights or remedies.
17. No Refunds
Due to the digital nature of the products supplied, all sales are final.
No refunds, exchanges, or cancellations are provided except where required under applicable consumer protection laws.
18. Limitation of Liability
To the maximum extent permitted by law:
- All products are supplied "as is";
- Kakuto Studios makes no guarantees regarding commercial performance, sales outcomes, or suitability for a particular production method;
- Kakuto Studios is not responsible for print errors caused by third-party printers, decorators, suppliers, file handling, garment selection, colour variation, or production mistakes;
- Kakuto Studios is not liable for indirect, incidental, or consequential damages;
- Kakuto Studios' total liability is limited to the amount paid for the relevant product license.
19. Indemnity
The Licensee indemnifies and holds harmless Sento Industries Pty Ltd, Kakuto Studios, Kakuto, Kakuto Culture, and their directors, employees, contractors, and affiliates from any claims, losses, damages, liabilities, or legal expenses arising from:
- Misuse of the artwork;
- Breach of this Agreement;
- Customer-supplied logos or trademarks;
- Unauthorised commercial activity;
- Illegal or infringing use of the products;
- Use of the artwork by the Licensee’s printers, vendors, contractors, employees, or representatives.
20. Governing Law
This Agreement is governed by the laws of Victoria, Australia.
The parties submit to the exclusive jurisdiction of the courts of Victoria, Australia.
21. International Customers
Customers purchasing products internationally acknowledge that they are responsible for complying with local laws and regulations applicable in their jurisdiction.
Nothing in this Agreement excludes any mandatory consumer rights that cannot legally be excluded under applicable law.
22. Modifications to Terms
Kakuto Studios reserves the right to update or modify these terms at any time.
The version in effect at the time of purchase applies to that purchase.
23. Acceptance
By purchasing, downloading, accessing, or using Kakuto Studios products, the Licensee confirms that they:
- Have read and understood this Agreement;
- Agree to be legally bound by it;
- Are authorised to enter into this Agreement on behalf of themselves or their organisation.
